Terms of Supply

Effective Date: July 16, 2026

These Terms of Supply ("Terms") govern all business-to-business (B2B) quotations, wholesale purchase orders, and private-label contract packaging services supplied by Bapa Sitaram Enterprise. By placing an order with us, the purchaser ("Buyer") agrees to be bound by these terms.

1. Scope of Agreement

These Terms apply exclusively to commercial trade contracts. We do not provide direct retail supply to end-consumers. Any amendments to these terms must be explicitly confirmed in writing by our corporate officers.

2. Quotations & Pricing

• All proforma invoices, pricing lists, and bulk container-load quotes are provided in INR or USD, depending on the delivery destination.
• Standard quotation validity durations apply. (Company Confirmation Required for the exact number of days).
• Taxes, local customs duties, storage charges, ocean shipping rates, and port terminal handling charges (THC) are billed separately unless specified otherwise in writing.

3. Product Testing & Warranty

We guarantee that each batch of Rockseal hot melt sticks and Yontax instant adhesives meets the specifications in our Technical Datasheet (TDS). However:

• Substrate Compatibility: Buyers must complete compatibility testing of our adhesives on their manufacturing substrates (such as plastics, wood veneers, fabrics, or board grades) before starting full-scale production.
• Shelf-Life & Storage: Adhesive performance is guaranteed only when stored in a cool, dry environment away from direct sunlight (as specified in our SDS).

4. Delivery Terms (Incoterms)

For domestic and international container deliveries, we operate under standardized logistics Incoterms. (Company Confirmation Required for standard defaults like FOB Hazira, EXW Surat, or CFR ports).

5. Payment Schedules

Orders process only upon receipt of cleared funds according to the terms specified on our Proforma Invoice. (Company Confirmation Required for standard payment structures, such as 30% advance deposit and 70% balance due against BL copy scan).

6. Governing Law

These Terms of Supply and all related commercial agreements are governed by the laws of India. Any legal disputes arising from these contracts are subject to the local courts in Surat, Gujarat, India.
